2. OBLIGATION

（2） 甲方與海外客商交易的具體價(jià)格、交貨方式、支付方式等由甲方與海外客商雙方協(xié)商約定。

3. Rate of commission, payment term
（1） 甲方同意按每筆合同成交總額（扣除稅金，運(yùn)費(fèi)和貨代的費(fèi)用）的______支付傭金給乙方。

6. CHANGES.

四、保證金 Security Deposit:

Party B has the right to retain the keys to the premises until Party A returns the deposit.
3. 甲方因乙方違反本合同的規(guī)定而受的損失，可在保證金中扣抵雙方協(xié)議數(shù)目，不足部分乙方必須在接到甲方付款通知后十天內(nèi)補(bǔ)足。Party A may deduct a negotiated amount of security deposit towards Payments of any actual damages Party A shall have incurred or suffered as a result of Party B’s breach of this Agreement. In case the security deposit is not sufficient to cover such amounts, Party B must pay the deficient within 10 days of the receipt of a demand from Party A.
五、甲方的義務(wù)Obligations of Party A:
1. 甲方須按時(shí)將出租房屋以良好狀態(tài)交付乙方使用。

2. 租賃期內(nèi)甲方不得無(wú)故收回出租房屋。（除非本合同另有規(guī)定）

3. 在乙方遵守本合同的條款及交付租金的前提下，如非中國(guó)法律特別規(guī)定，乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。
Provided Party B paying the rent and performing and observing Party B’s terms and conditions herein contain shall peaceably hold and enjoy the leased property throughout the term of this Agreement without any interruption by Party A or any other person save and except as required by the law of the People’s Republic of China.
4. 房屋基本設(shè)施和結(jié)構(gòu)（不包括乙方損壞的家私和器具）損壞時(shí)，甲方有修繕的責(zé)任并承擔(dān)有關(guān)的費(fèi)用，并對(duì)其作定期修保。
Party A is responsible for repairing and maintaining the basic facilities (excluding furniture and appliances damaged by Party B), the structure of the leased property and for bearing all costs related thereto.
5. 甲方謹(jǐn)在此聲明及保證甲方為出租房屋的合法擁有人并有合法地位出租此房屋予乙方。就本合同及出租此房屋予以乙方之事，甲方已取得所有有關(guān)機(jī)構(gòu)的批準(zhǔn)，包括政府批準(zhǔn)及抵押權(quán)人的同意（如適用）。甲方于本合同所做出的聲明及保證，如有錯(cuò)誤或違反者，甲方須就乙方因此而引致的任何損失、損害、支出及費(fèi)用做出全部補(bǔ)償。 Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the property to Party B, including government approval and/or mortgagee consent (if applicable).

六、乙方的責(zé)任 Obligations of Party B:
1. 乙方應(yīng)按合同的規(guī)定，按時(shí)支付租金，保證金及其它各項(xiàng)應(yīng)付費(fèi)用如水、電、煤、寬帶等費(fèi)用。 Party B shall promptly pay all rent, security deposit and other charges such as water, electricity, gas, ADSL, etc payable by it in accordance with the terms of this Agreement.
2. 乙方經(jīng)甲方事先書(shū)面同意，可在承租用房?jī)?nèi)進(jìn)行裝修及添置設(shè)備。租賃期滿后恢復(fù)原狀或可正常出租狀態(tài)（正常損耗除外），并承擔(dān)其費(fèi)用，經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲方。乙方在租賃結(jié)束交房時(shí)應(yīng)保持房屋清潔。
Party B may, with the prior written consent of Party A, renovate and install additional facilities in the leased property. Upon expiry of the tenancy, the leased property shall be returned to Patty A in its original conditions of normal lease conditions(fair wear and tear excepted), and all expenses arising there from shall be borne by Party B. Party B shall keep the premise clean once returning it to Party A.
3. 乙方應(yīng)愛(ài)護(hù)使用租賃的房屋，如因乙方的過(guò)失或過(guò)錯(cuò)致使房屋及設(shè)施受到損壞（正常損耗除外），乙方應(yīng)負(fù)賠償責(zé)任。 Party B shall treat the leased property with care. If, as a result of party B’s negligence or misconduct, the leased property and the related facilities suffer any damage (fair wear and tear exempt), Party B shall be responsible for compensating Party A for such damages.
4. 乙方應(yīng)按本合同的約定合法使用租賃房屋，不得擅自改變使用性質(zhì)，不應(yīng)存放中華人民共和國(guó)法律下所禁止的危險(xiǎn)的物品，如因此發(fā)生損害，乙方應(yīng)承擔(dān)全部責(zé)任。Party B shall use the leased property legally as agreed in this Agreement and may not change such use on its own. Party B shall not store any dangerous items which are prohibited by the laws in the People’s Republic of China in the leased property and shall be fully responsible for any damages or losses as a result thereof.
5. 未經(jīng)甲方事先書(shū)面同意，乙方不得將承租的房屋轉(zhuǎn)租或分租給其他的第三方.
Without Party A’s prior written consent, Party B may not assign the tenancy or sublet the leased property to a third party.
七、違約處理Breach of Agreement:
1. 甲、乙任何一方在未征得對(duì)方諒解的情況下，不履行本合同規(guī)定條款，導(dǎo)致本合同中途中止，則視為該方違約，雙方同意違約金為人民幣元整（￥ ），若違約金不足彌補(bǔ)無(wú)過(guò)錯(cuò)方之損失，則違約方還需就不足部分支付賠償金。 During the lease term, any party who fails to fulfill any article of this contract without the other party’s (￥party in breach should pay additional compensation to the other party.

八、不可抗力 Force Majeure:
若由于不可抗拒的自然災(zāi)害（包括但不限于火災(zāi)、洪水、地震、施工、敵對(duì)、瘟疫等行為等）
獲其他非乙方過(guò)錯(cuò)所造成的對(duì)本物業(yè)的損毀致其無(wú)法居住或使用本物業(yè)，乙方有權(quán)終止本組契約，甲方

(include, but not limited to, fires, flood, earth quakes, accidents, strikes, wars, insurrections, public enemy,pestilence etc).or actions that are not the result of Party B’s fault, Party B shall have the right to terminate this Agreement and prorated balance of all rents and management fees paid, as well as security deposit, shall be returned to Party B without any set-offs or deductions.
九、適用法律Applicable Law:
本合同的成立，其有效性，解釋，簽署和解決與其有關(guān)的一切糾紛均應(yīng)受中國(guó)法律的管轄并依據(jù)中國(guó)法律解釋。The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the laws of the People’s Republic of China.
十、爭(zhēng)議的解決 Dispute Resolution:
凡因執(zhí)行合同所產(chǎn)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決；協(xié)商不成，應(yīng)提交上海仲裁委員會(huì)，按其仲裁規(guī)則和中華人民共和國(guó)仲裁法在上海進(jìn)行仲裁， 仲裁裁決是終局的，對(duì)雙方都有約束力。In the case of disputes arising over this Agreement or any matters related hereto, the parties shall negotiate in good faith to arbitration by Shanghai Arbitration Commission in Shanghai accordance with its arbitration rules .The decision of the arbitrage body is final and shall be binding on the parties hereto.
十一、其他 Others:
1. 本合同附件是本合同不可分割的組成部分，具有同等法律效力。
The attachment to this Agreement is an inseparable part of this Agreement and is equally enforceable.

3 押金 Deposit:
3.1乙方須支付相當(dāng)于兩個(gè)月房租的押金（即RMB ）, 以人民幣支票或轉(zhuǎn)帳形式支付）。甲方應(yīng)在收到押金后向乙方開(kāi)具統(tǒng)一收據(jù)。
A deposit of two (2) months’ equivalent rental (RMB ) shall be paid by PARTY B in RMB by check or by bank transfer. PARTY A shall issue to PARTY B official receipt upon receiving the deposit.
3.2押金在合同終止后10天內(nèi)由甲方以相同幣種全額退還給乙方（不計(jì)利息）。如果延期返還，則每延期一日，按每日萬(wàn)分之四支付給乙方利息。
The deposit shall be refundable in full amount in 10 days after the contract expiration, in same currency and excluding interest thereupon. In case PARTY A delays the refund of the deposit, PARTY A shall pay interest to PARTY B at the rate of 0.04% per day of delay.
3.3甲方應(yīng)按時(shí)付清各種帳單。若以上出租房屋及其家具、設(shè)備等因乙方原因出現(xiàn)遺失或非正常的損壞，乙方應(yīng)負(fù)責(zé)賠償。
PARTY A shall pay off on time all the bills due. In case there is any loss or unusual damage to the furnishings, contents or the rental premises due to PARTY B’ s reason, PARTY B shall compensate for it.
4 租期 Lease term:

5 出租人的責(zé)任 PARTY A’s obligation:
5.1 3甲方聲明及保證甲方為該出租房屋的合法擁有人，有合法地位出租此房屋，并就出租事宜已取得有關(guān)方面的批準(zhǔn)。
PARTY A assures to be the legal owner of the leased premises, to have the necessary legal capacity to lease it, and PARTY A’ action has been ratified by the authorities concerned.
5.2租賃期內(nèi)，若甲方出售該出租房屋導(dǎo)致該出租房屋所有權(quán)發(fā)生轉(zhuǎn)移,甲方須保證本合同能繼續(xù)執(zhí)行。
In case PARTY A sells the premises during the lease which leads to the premises ownership be transferred, PARTY A shall ensure that the said contract will be implemented continuously.
5.3甲方須按時(shí)將清潔狀況良好的出租房屋交付乙方使用，保證在租賃期內(nèi)出租房屋內(nèi)的各項(xiàng)設(shè)施能正常使用。 PARTY A shall hand over the said premises to PARTY B on time and assure the said premises will be cleaned and in good status during the lease term.
5.4甲方有義務(wù)負(fù)責(zé)出租房屋及設(shè)施的正常維護(hù)和保養(yǎng)，如房屋或設(shè)施非因甲方原因出現(xiàn)故障，甲方應(yīng)在收到乙方通知后二十四(24)小時(shí)內(nèi)自行或通過(guò)其他方式解決故障，否則，乙方有權(quán)雇傭第三方進(jìn)行維修，由甲方承擔(dān)所有費(fèi)用并承擔(dān)相關(guān)責(zé)任。由于不可抗力（如地震、臺(tái)風(fēng)、洪水、非人為的火災(zāi)等）、自然損耗或乙方以外的原因造成的損壞，亦由甲方承擔(dān)有關(guān)費(fèi)用。
PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.
5.5租賃期內(nèi)，在乙方遵守合同及支付租金的前提下，未經(jīng)乙方允許，甲方不得進(jìn)入該出租房屋。
During the lease, PARTY A shall not get in the said premises without PARTY B’S permission if PARTY B has been carrying out the contract normally.
5.6甲方應(yīng)督促管理公司向乙方提供足夠的服務(wù)，如冷水、熱水、煤氣,電的供應(yīng)及各種設(shè)備的正常工作。 Party A shall direct Property Management Company to provide sufficient and continuous services to Party B, including provision of cold water, hot water, gas and electricity and ensure proper maintenance of equipment therein.
5.7 房產(chǎn)稅及與租賃有關(guān)的所有稅費(fèi)由甲方承擔(dān)。
Premises tax and other leasing related taxes shall be paid by PARTY A.
6 承租方的責(zé)任 PARTY B’S obligations:
6.1 乙方申明及保證其在中國(guó)擁有合法居留權(quán)，并按有關(guān)規(guī)定辦理必要的居住登記手續(xù)。
PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.
6.2 住客應(yīng)按時(shí)支付電話費(fèi)含上網(wǎng)費(fèi)、水電煤氣費(fèi)。
The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.
6.3 乙方只能將出租房屋用做住宅，不得將之用作公司及代表處的注冊(cè)地址，亦不可作為公開(kāi)的辦公室。 The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.
6.4 乙方不得在出租房屋內(nèi)進(jìn)行違反法律及政府對(duì)出租房屋用途有關(guān)規(guī)定的行為。
PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.
6.5 租賃期內(nèi)，未經(jīng)甲方書(shū)面同意，乙方不得將出租房屋部分或全部轉(zhuǎn)租他人。
PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.
6.6 若因乙方使用不當(dāng)或不合理使用，出租房屋及其內(nèi)的設(shè)施出現(xiàn)損壞或發(fā)生故障，乙方應(yīng)及時(shí)聯(lián)絡(luò)管理機(jī)構(gòu)或甲方進(jìn)行維修，并負(fù)責(zé)有關(guān)維修費(fèi)用.
The damage of the premises or the fittings that are within the control of PARTY B shall be borne by PARTY B, and PARTY B shall contact the management office or PARTY A instantly.
6.7 租賃期內(nèi)，乙方對(duì)出租房屋進(jìn)行裝修或增加水、電、消防等設(shè)施，須經(jīng)甲方同意并經(jīng)有關(guān)部門批準(zhǔn)，并由甲方執(zhí)行監(jiān)理，所需費(fèi)用由乙方承擔(dān)。雙方解約時(shí)，乙方不能移走自行添加的結(jié)構(gòu)性設(shè)施，甲方亦不必對(duì)上述添加設(shè)施進(jìn)行補(bǔ)償。
PARTY B, upon written permission of PARTY A, may make additions or alterations dealing with water,
electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.
6.8 乙方有權(quán)在墻壁上懸掛畫(huà)、圖片或其他裝飾性物品。合同履行期限屆滿或提前解約時(shí)，甲方應(yīng)承擔(dān)費(fèi)用拔掉釘子、粉刷墻壁或使墻壁恢復(fù)原狀，并承諾不以此為由扣留乙方的押金。
PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.
6.9租賃合同期滿的前一個(gè)月內(nèi)，經(jīng)合理事先書(shū)面通知，乙方應(yīng)允許甲方或其授權(quán)人 引領(lǐng)潛在客人參觀在出租房屋。
During the last month of the contract, after reasonable prior written notice to PARTY B, PARTY A or his nominee shall be allowed to show the said premises to the potential clients.
6.10 租賃期滿，若甲，乙雙方未達(dá)成續(xù)租協(xié)議，乙方應(yīng)于租期屆滿時(shí)或之前遷離出租房屋并將鑰匙及清理干凈的房屋歸還甲方.
PARTY B shall return the premises in a clean condition to PARTY A (except wear and tear) at the expiration of the contract if there is no renewal thereupon.
7 提前解約Early termination:
7.1六(6)個(gè)月后，乙方如要退租，應(yīng)提前一(1)個(gè)月書(shū)面通知甲方終止本租約。在此情況下，甲方應(yīng)在本租約終止后十(10)日內(nèi)將押金全額退還乙方。
After six (6) months, Party B may, upon one (1) month advance written notice to Party A, terminate this
Tenancy Agreement without any liabilities. Under this circumstance, Party A shall return the deposit in full to Party B within ten (10) days after the termination.
7.2 若因自然界的不可抗力，如火災(zāi)、洪水、臺(tái)風(fēng)、地震、戰(zhàn)爭(zhēng)等意外損害導(dǎo)致出租房屋無(wú)法居住，合同即自動(dòng)終止，甲、乙雙方互不承擔(dān)責(zé)任。
If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.
8 續(xù)租 Renewal:
租賃期滿，乙方有優(yōu)先續(xù)租權(quán)，但須提前一個(gè)月通知甲方，并安排簽訂續(xù)租合同。
PARTY B retains the priority to renew this lease upon expiration , while one-month prior notice to PARTY A is necessary, and PARTY A shall arrange the signature for the renewal contract.
9 爭(zhēng)議的解決 Dispute Resolution:
9．1 本合同適用法律為中華人民共和國(guó)相關(guān)法律。
The contract is governed by the laws of the People’s Republic of China.
9．2在履行本合同過(guò)程中產(chǎn)生的任何爭(zhēng)議由雙方協(xié)商解決，協(xié)商不成，可向中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京)申請(qǐng)仲裁。
In case of any dispute arising out of the performance of this Contract, PARTY A and PARTY B shall consult
together to reach unanimity, otherwise both parties can submit the dispute to the China International Economic and Trade Arbitration Commission (Beijing) for arbitration.
10 其他Others:
10.1本合同以中英文兩種文字?jǐn)M成，兩種文本同等有效。
The contract is drawn in both Chinese and English versions. Both texts have equal effect.
10.2 本合同一式二份，甲、乙雙方各執(zhí)一份。
Two copies of the contract will be drawn and remained in the possession of PARTY A & PARTY B. 10.3本合同自簽定之日起生效。

Party B shall not store arms, ammunition or unlawful goods, gun-powder, saltpeter, kerosene
or any explosive or combustible substance, etc. in any part of the said premises, the tenant or inmate shall not use the said premises for any illegal purposes, for violation against the law of People’s Republic of China in any part of the said property, Party B shall be answerable and responsible for any consequence of any breach of local ordinance.
5、 乙方須正確維護(hù)該物業(yè)內(nèi)甲方所提供之家具、電器、裝置及設(shè)備、該物業(yè)之原來(lái)一切設(shè)
備如有因非正當(dāng)使用造成的損壞，乙方須負(fù)責(zé)修理或賠償。
To keep the interior of the said premises and furniture, fixtures and fittings provided by Party A in condition of normal use throughout the tenancy, if any damages made by any abnormal use, Party B is responsible for the repair or reimbursement.
6、 乙方不得拒絕甲方派譴之人員，在適當(dāng)時(shí)間入屋檢視該單位近況或進(jìn)行任何修理工程。
Party B shall permit Party A and its agents with or without workmen or others and with or without appliances at all reasonable times to enter upon the said premises and to view the condition thereof and to take inventories of the fixtures therein and to carry out any repairs to the premises which Party A considers necessary or proper to be done.
7、 當(dāng)租約期滿或終止前X個(gè)月，甲方有權(quán)在不騷擾原則下, 張貼招租告示于該單位外,
乙方亦應(yīng)準(zhǔn)許甲方/代理人在合理時(shí)間內(nèi)，帶同新租客進(jìn)入該物業(yè)視察。
During the X month immediately preceding the determination of the said term of tenancy, Party A shall be at liberty to affix and retain without interference or molestation on the door or the external parts of the said premises a notice for letting the said premises and the Party
B shall permit and allow all persons with written or oral authority from party A or its agent or agents at all reasonable hours of the day to view the said premises or any part or part thereof.
8、 租約期滿，乙方如需延長(zhǎng)租約，須在租約期滿 X 個(gè)月前以書(shū)面方式通知甲方，經(jīng)甲
方同意，乙方可以新訂租金和租約繼續(xù)入住該物業(yè)。

10、 乙方不得于單位內(nèi)制造或容許制造噪音, 異味或任何滋擾鄰居或業(yè)主安寧之舉動(dòng), 其中

Party B shall not permit any noise or allow any music to be produced in the premises so as to give cause for reasonable complaint from the occupants of neighboring premises, otherwise, Party A has the right to terminate the tenancy immediately if case continued after advised. 11、

(15) 逾期發(fā)運(yùn)：如果由于買方原因造成逾期發(fā)運(yùn)，買方承擔(dān)責(zé)任。造成自簽訂合同之日起超過(guò)45天不能發(fā)運(yùn)的，賣方將每日按貨物金額的3%收取保管費(fèi)；如果由于買方原因造成逾期發(fā)運(yùn)超過(guò)6個(gè)月，賣方有權(quán)自行處置定金和貨物。如果是賣方原因造成的逾期發(fā)運(yùn)，賣方需提前告知買方并得到買方的確認(rèn)并承擔(dān)其他相關(guān)費(fèi)用。
LAST SHIPMENT: if the late delivery is caused by the buyer, the buyer shall bear the
responsibility. If the delay has being made more than 45 days from the signing of the Sales Contract hereof, the buyer shall pay 3% of total amount each day, and if the delay is more than 6 months, the Seller has the right to dispose the down payment and the goods. If the late delivery is caused by the Seller, the Seller shall inform the Buyer in advance and get confirmation from the Buyer, and the related expense shall be born by the Seller.
(16) 質(zhì)量/數(shù)量異議：對(duì)于質(zhì)量方面的異議，買方必須在貨物抵達(dá)目的港后30天之類提出：對(duì)于數(shù)量方面的'異議，買方必須在貨物抵達(dá)目的港后15天之內(nèi)提出。對(duì)由于保險(xiǎn)公司、運(yùn)輸公司、其他運(yùn)輸機(jī)構(gòu)或郵局的原因所造成的貨物差異，賣方不負(fù)任何責(zé)任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.
(17) 不可抗力：賣方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的，不負(fù)責(zé)任：水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)賣方不能預(yù)料、無(wú)法控制且不能避免和克服的事件。但賣方因盡快地將所發(fā)生的事件通知對(duì)方，并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。如果不可抗力事件之影響超過(guò)120天，雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。
FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.
(18) 仲裁：因履行本合同所發(fā)生的一切爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，如協(xié)商仍不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān)，但仲裁委員會(huì)另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。
ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and
Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. During the arbitration period, clauses beside of the arbitrated parts shall be executed.
(19) 本合同為中英文對(duì)應(yīng)，一式兩份，買賣雙方各執(zhí)一份；合同自賣方簽字蓋章、買方簽字后生效（傳真件以及掃描具有正版相等法律效應(yīng)）。
The Sales Contract is concluded in Chinese and English with same effectiveness, and will come into effect on stamp of Seller and signing by Buyer. The Sales Contract is in dual original and each party shall have one original copy of this Sales Contract. (Any scanned and faxed copy shall have the same legal effect as the original one.)

INSPECTION: The certificate of quality issued by the China Entry-Exit Inspection and Quarantine Bureau shall be taken as the basis of delivery.

CLAIMS: In case discrepancy on the quality or quantity of the goods is found by the Buyer, after arrival of the goods at the port of destination, the Buyer may, within 30 days and 15 days respectively after arrival of the goods at the port of destination, lodge with the Seller a claim which should be supported by an Inspection Certificate issued by a public surveyor approved by the Seller. The Seller shall, on the merits of the claim, either make good the loss sustained by the Buyer or reject their claim, it being agreed that the seller shall not be held responsible for any loss or losses due to natural cause failing within the responsibility of Ship owners of the Underwriters. The Seller shall reply to the Buyer within 30 days after receipt of the claim.

LATE DELIVERY AND PENALTY: In case of late deliver, the Buyer shall have the right to cancel this contact, reject the goods and lodge a claim against the Seller. Except for Force Majeure, if late delivery occurs, the Seller must pay a penalty, and the Buyer shall have the right to lodge a claim against the Seller. The rate of penalty is charged at 0.5% for every 7 days, odd days less than 7 days should be counted by the paying bank or the Buyer from the payment.
遲期交貨及刑罰:以防遲到的傳遞,需方有權(quán)取消這個(gè)合同,拒絕接受貨物和向賣方提出索賠。除不可抗力,如果遲期交貨時(shí),賣方必須支付違約金,買方有權(quán)向賣方提出索賠。罰金是0.5%,每7天,天數(shù)不到7天應(yīng)安7天算 由銀行付款銀行或由買方的貨款中扣除。
FORCE MAJEURE: The Seller shall not held responsible if they, owing to Force Majeure cause or causes, fail to make delivery within the time stipulated in the Contract or cannot deliver he goods. However, in such a case, the Seller shall inform the Buyer immediately by cable and if it is requested by the Buyer, the Seller shall also deliver to the Buyer by registered letter, a certificate attesting the existence of such a cause or causes.

ARBITRATION: All disputes in connection with this contract or the execution thereof shall be settled amicably by negotiation. In case no settlement can be reached, the case shall then be submitted to the China International Economic Trade Arbitration Commission for settlement by arbitration in arbitration in accordance with the Commission’s arbitration rules. The award rendered by me commission shall be final and binding on both parties. The fees for arbitration shall be borne by the losing

七、其他費(fèi)用：

乙方應(yīng)承擔(dān)租賃期內(nèi)實(shí)際使用而產(chǎn)生的水、電、液化氣費(fèi)、電話費(fèi)并按單自行如期交納所屬管理公司或有關(guān)機(jī)構(gòu)。
during the term of tenancy,party b is reonsible for paying the charges in relation to water, electricity, gas,telephone charges on the basis of the amount of such utilities party b uses. such charges shall be paid when due according to the invoice therefore received by party b from the management company or relevant authority every month.
八、甲方的責(zé)任：

8. 甲方須按時(shí)將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。
party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)
8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定)，甲方保證乙方可不受干擾的享用該物業(yè)。
party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.
8.3 在乙方遵守本合同的條款及支付租金的前提下，乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。
proviede that party b pays the rent and performs and observes party b’s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.
8.4 租賃期內(nèi)出租房屋的結(jié)構(gòu)，進(jìn)出物業(yè)的排水、上下管道、電路等處于良好使用狀態(tài)。
party a agrees to repair and maintain the structure,drains, pipes and cables, etc.leading in to or from the leased property at all times in good and tenable repair during the term of this tenancy.
九、乙方的責(zé)任：
party b’s obligations:
9. 乙方應(yīng)按合同的規(guī)定，按時(shí)支付租金，保證金及其他各項(xiàng)應(yīng)付費(fèi)用。
party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.
9.2 乙方應(yīng)愛(ài)護(hù)使用出租房屋，如因乙方的過(guò)失或過(guò)錯(cuò)致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外)，乙方應(yīng)負(fù)賠償責(zé)任。

9.3 乙方應(yīng)按本合同的約定合法使用出租房屋，不得擅自改變使用性質(zhì)，不應(yīng)存放中華人民共和國(guó)法律下所禁止的危險(xiǎn)物品，如因此發(fā)生損害，乙方應(yīng)承擔(dān)全部責(zé)任。

9.4 未經(jīng)甲方事先書(shū)面同意，乙方不得將出租房屋轉(zhuǎn)租或租給其他的第三者。

十、違約處理：

alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;
c.無(wú)故拖欠租金超過(guò)三天(除雙方就本合同存在爭(zhēng)議除外)。
fails to pay rent without any reason for more than thirty (30)days after the due date except where there is a diute in reect of this agreement.
十一、適用法律：
applicable law:
本合同的成立，其有效性、結(jié)實(shí)、簽署和解決與其他有關(guān)的一切糾紛均應(yīng)受中國(guó)法律的管轄并依據(jù)中國(guó)法律解釋。

十二、爭(zhēng)議的解決：

凡因執(zhí)行本合同所產(chǎn)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決;協(xié)商不成，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按其仲裁規(guī)則和中華人民共和國(guó)仲裁法進(jìn)行仲裁。仲裁解決是終局的，對(duì)雙方都有約束力。
in the case of diutes arising over this agreement of any matters related hereto ,the parties shall negotiate in good faith to resolve such diutes.if such negotiation fails, the parties shall submit the diute to arbitration by the china international economic and trade arbitration commission in accordance with its arbitration rules and the arbitration law of the people’s republic of china.the decision of the arbitration body is final and shall be binding on the parties hereto.

英文合同 篇8
this agreement of lease is made on this 16th day of december XX by and between:-
mrs. ghazala waheed w/o abdul waheed, adult, r/o house no.***-*, dha, lahore cantt, (hereinafter to as the lessor of the one part).
and
mr.* ***,r/o china, refereed to as the lessee of the other part.(expression “l(fā)essor”
and “l(fā)essee” wherever the context so permit shall always mean and include their respective heirs, successors legal representative and assignees).
whereas the lessor is the lawful owner and in lawful possession of house no,***-*,dha,
lahore cantt, consisting of 4 bedrooms with bath, d/d,tv; lounge, kitchen, store, servant, quarter together with fixtures and fitting (hereinafter collectively called the demised premises).
and whereas the lessor has agreed the lease and the lessee has agreed to take on lease the demised premises on the terms and condition as given below:-
1. this agreement in only valid if lessee is renewed and extended for the lease period.
2. the lessor lets lessee takes the demissed premises for a period of 12 months
commencing from 15th january XX. the lease is renewable for a further period as may be mutually agreed in writing on expiry of the lease period
3. the rent of the demised premises shall be usd3,300/-(us dollars three thousand and three hundred only) per month
4. the lessor hereby acknowledges receipt of the sum of usd.19,800/-(us dollars nineteen thousand and eight hundred only) per month.
5. it is hereby agreed between the parties that the lessee shall pay the aforesaid monthly rent
usd. 3,300/-(us dollars three thousand and three hundred only) as the monthly rental advance by 20th of each calendar month for which if is due after completion of advance rent period ending on 15th july XX.
6. that the lessor hereby acknowledges receipt of the sum of rs.60,000/-(rupees sixty thousand only) from the lessee as fixed edposit security which shall be refunded to the lessee on giving back the vacant possession of the demised premises after deduction of damages/shortages outstanding bills for electricity, water, gas and telephone charges etc, against the demised premises.
the lessee herby convenants with lessor as following:
1. to pay to the lessor the rent hereby reserved in the manner before mentioned.
2. that the lessee shall not at any time during the terms, without the consent in writing of the lessor, pull down, damages or make any structure alterations to the demised premeses provided always, the lessee shall have go write install any fixtures and fittings excluding air-conditioners in the demised premeses, to detach and repossess the same subject to the restoration of the demised premeses to their original state at his cost (reasonable wear and tear excepted) on the expiry of this lease or any renewal hereof.
3. to use the demises premises for residen
tial purpose and would not be used for a commercial purpose the demises premise would not be used occupied by mr. ****
and family.
4. not to sublet the whole or any part of the premises.
5. to pay regularly the bills for electricity, gas, water and telephone charges in respect of the demised premises. a copy of all the paid utility bill be forwarded to the lessor every three month regularly. in case of disconnection of any facility due to non-payment, lessee will be responsible to get them restored and pay the same. all dues must be cleared before the expiry of the lease.
6. the lessee shall keep and maintain the said premises in good and tenantable conditions during the tenure of the lease.
the lessor hereby convenants with the lessee as following:-
1. to pay all existing and future rate, taxes assessments and other charges of a public nature whether impose by the municipality, government or any other authority in respect of demised premises.
2. not to erect or set up a building or structure on the demises premises nor to add to any existing building or structure during the period of lease or any renewal without the written consent of the lessee.
it is hereby declear and muturally agreed between the lessor and lessee ans follwing:=
1. the lessee and the lessor shall have the right and option to terminate this lease at any time only after the expiry of the lease period i.e., 24 months, provided they give one (1) month notice in advance to either of the parties.
